Commercial property deals generate paper in a way few other transactions do. A single multi-let office can come with decades of title documents, dozens of leases and licences, service charge records and a stack of surveys. A portfolio multiplies that by every building. The data room is where the seller’s solicitor organises it so that the buyer’s team can report on title within the timetable in the heads of terms.

In property, the room is not mainly about secrecy. It is about getting a buyer’s solicitor through title and leases fast enough to exchange on time.

The documents that drive a UK property sale

Almost every buyer’s solicitor will work from the same core set, and the room should mirror it:

  • Official copies of the register and title plans from HM Land Registry, plus any unregistered deeds and epitome of title
  • Leases, rent deposits, licences for alterations and assignment, side letters and the current rent schedule
  • Replies to the Commercial Property Standard Enquiries and the searches the seller has already obtained
  • Service charge budgets, year-end reconciliations and any disputes
  • Energy Performance Certificates and evidence on minimum energy efficiency standards
  • Planning permissions, building regulation sign-offs, fire risk assessments and asbestos surveys
  • VAT position, including any option to tax and HMRC’s acknowledgement, which matters for a transfer of a going concern

Not everyone needs everything

A property sale brings several outside parties into the room at once, and they need very different things. Giving all of them the whole room is easy, but it wastes their time and exposes tenant information that only the buyer’s solicitor needs.

The buyer's solicitor needs everything; valuers, lenders and surveyors need far less, so permission by party rather than one open room. Illustrative, deal terms vary.

The buyer’s lender and valuer typically need title, leases, EPCs and surveys to complete the valuation and loan, not the seller’s replies to enquiries. The building surveyor needs condition and environmental reports. The seller’s own loan and charges matter only to the buyer’s solicitor, who needs to confirm they will be discharged at completion.

Energy efficiency is now a diligence item

Since April 2023, landlords of non-domestic property in England and Wales generally cannot continue to let a building with an EPC rating below E unless a valid exemption is registered. Buyers now check every let unit’s EPC and any exemptions, and they are increasingly pricing in the cost of improving ratings ahead of expected tightening. The government’s MEES guidance for landlords sets out the current rules. Put EPCs in a dedicated folder per building, with expiry dates in the file names.

Tenants’ personal data

Leases with individuals, guarantors’ details, rent arrears records and CCTV policies all contain personal data under UK GDPR. A buyer needs some of it to take over the leases, but not in the first round. Share a redacted tenancy schedule early and the full files to the buyer you have chosen, and ask the provider where data is hosted, since some property buyers are overseas and access from abroad can count as a transfer.

Where property rooms go wrong

The usual problems are structural. Leases are uploaded as single scans of several hundred pages, so solicitors cannot find the rent review clause. Documents for different buildings are mixed in one folder. Replies to enquiries are updated by email instead of in the room, so two versions exist. And the index changes after exchange, which makes the completion archive hard to reconcile. Fix these at the start: one folder per building, one file per document, and a fixed index number.

Budgeting

A single-asset sale with a few hundred documents can run on a monthly plan; Ellty, for instance, publishes pricing from $149 a month (approx. £115, indicative; confirm with the provider and check VAT). Who usually sets up the data room in a UK property sale?

The seller's solicitor or the selling agent, on the seller's behalf. The seller should still hold administrator rights and agree who is added to each group.

Do I need a data room for a single commercial building?

For a simple vacant building, a solicitor may manage with a secure file transfer. Once there are tenants, several bidders or a lender involved, a room saves time and gives a clear record of what was provided and when.

Should EPCs and MEES exemptions be in the room?

Yes. Buyers and lenders check them for every let unit, and a missing or expired EPC can delay exchange. Keep them in one folder per building with dates visible.

How should leases be uploaded?

One file per document, named consistently with the property, tenant and date. Splitting combined scans before upload saves the buyer's solicitor hours and reduces questions.
