These are two of the longest-running rooms on our list, founded in 2008 and 1999.   1. Where will a UK room be hosted?Ask for the region in writing and whether it can be fixed in the contract. Our data does not record hosting, so treat any answer from a sales call as provisional until it is in the order form.
  2. Who is the processor, and under which agreement?Get the data processing agreement before documents go in. Check it names the contracting entity, the security measures and how the provider helps you answer subject access requests.
  3. Which sub-processors touch the documents?Hosting, support, email delivery and analytics vendors all count. Ask for the list and how you are told about changes during the deal.
  4. Can anyone outside the UK see the files?Datasite lists the United States as head office. Support access from abroad is a restricted transfer, so ask which safeguard covers it: UK adequacy regulations, the UK International Data Transfer Agreement or the UK Addendum to the EU standard contractual clauses.
  5. What happens to documents in the AI tools?Datasite lists AI tools. Ask where that processing runs, which model provider is involved and whether your content is used for training. A DPIA may be needed if personal data goes through it.
  6. What happens to the room at completion?Agree the archive format, how long read-only access lasts and when the provider deletes everything, with a certificate of deletion if your retention policy needs one.

How each copes with four UK deals

Takeover Code bid

Both are credible for a Code bid. Datasite's mobile app helps principals follow a fast-moving offer period. iDeals' free trial lets a target's company secretary rehearse, before any announcement, how access would be mirrored for a second bidder under the equal information rule.

AIM admission

AIM work rewards a room that advisers find easy, because reporting accountants and lawyers live in it for months; iDeals scores higher on ease of use. Datasite's AI tools may cut reading time on verification, which is worth testing on a sample of your own papers.

SEIS or EIS round

Neither is an obvious fit for a SEIS or EIS raise, since both quote per project. If your investors or accelerator already use one of them, iDeals' free trial at least lets you test it before you are asked to pay.

Commercial property sale

Both list redaction, which helps with tenant data. Datasite's AI tools are the edge for buyers working through hundreds of leases. If you want to automate uploads from a property management system, ask iDeals what its API supports. Either way, confirm that bulk uploads keep the folder index intact.
