Terms and conditions

These terms govern access to and use of DataRooms.uk (the “site”), which is run by the DataRooms.uk editorial team (referred to below as “we” or “us”). Continuing to browse the site means you accept them, so if you object to any part, please stop using it.

1. What the site is

DataRooms.uk publishes independent information about virtual data room providers for people involved in UK transactions. This includes provider reviews, scores, rankings, sector guides, cost guidance, a quiz and general articles. Reading the site costs nothing and does not require an account.

2. Information, not advice

Our content is written for general guidance only and is no substitute for legal, tax, financial, investment, regulatory or data protection advice. Nor is it a recommendation that a particular provider is right for your circumstances. Our guides refer to UK laws, regulations and official processes to give context, but they are summaries and may not cover every point that applies to you.

Before you make a decision about a transaction or a provider, you should take advice from a suitably qualified professional and carry out your own checks, including on security, data protection terms and where a provider stores data.

3. Accuracy and availability

We work hard to keep the site accurate and up to date, and we explain our process in our methodology and editorial policy. However, providers change their products, plans and prices frequently, and we cannot guarantee that every detail is complete, current or error-free at the moment you read it.

Pages, tools or the whole site may be altered, paused or taken down whenever we decide, with or without warning. We do not guarantee that the site will always be available or free from interruptions, errors or viruses. You are responsible for using your own virus protection.

4. Prices

Prices on the site are indicative only. Most providers publish prices in US dollars; where we show a sterling figure, it is an approximate conversion for guidance. Prices may exclude VAT and other charges, may differ by plan, contract length or usage, and can change without notice. Always confirm the current price and terms directly with the provider before you commit.

5. Scores and opinions

Our scores, rankings and reviews are editorial opinions reached using the criteria described in our methodology. They are not customer reviews, guarantees of performance or statements of fact about a provider’s suitability for you. Different readers with different priorities may reasonably reach different conclusions.

Some links on the site are affiliate links, labelled “Affiliate”. A purchase made after following one can earn us a fee from the provider, and it does not raise what you pay. Full details are in our advertising disclosure.

Links to provider websites and other third-party sites are provided for convenience. Those sites sit outside our control, so their content, uptime, privacy practices and terms are their owners’ responsibility. A subscription you take out with a provider creates a contract solely between the two of you. We have no role in that contract and accept no responsibility for the provider’s products, services, pricing, billing or performance.

7. Acceptable use

Reading, saving and printing pages for reference within your own organisation or for yourself is fine. You must not:

  • use the site in any way that breaks the law or infringes anyone’s rights;
  • copy, republish or sell substantial parts of the site’s content without our written permission;
  • use automated tools to scrape or harvest content at a volume that burdens the site;
  • try to break into the site or the systems behind it, or plant malicious code;
  • misquote our content, scores or rankings, or imply that we back a business or product.

8. Intellectual property

The content, design, text, graphics, infographics and scoring framework on the site belong to us or our licensors and are protected by copyright and other intellectual property rights. Provider names and trade marks remain the property of their owners; we use them solely so readers know which product a review discusses. Short quotations are welcome where they are accurate and credit DataRooms.uk with a link to the original page.

9. Our liability to you

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under the laws of England and Wales.

Subject to that:

  • the site is provided without charge and on an “as is” and “as available” basis;
  • we accept no liability, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for loss or damage caused by using or relying on the site or anything published on it;
  • in particular, we are not liable for loss of profits, revenue, business, contracts, goodwill or data, or for any indirect or consequential loss;
  • we accept no liability for losses that flow from your dealings with a provider or other third party, including one reached through a link here.

If you are a consumer, these terms do not affect your statutory rights.

10. Privacy

Our privacy policy explains how we handle personal data when you use the site, including our use of analytics and cookies.

11. Changes to these terms

We may update these terms from time to time. Look at the updated date near the title to see when they last changed. The version in force when you use the site is the one that applies, so please check this page from time to time.

12. General

If any part of these terms is found to be unenforceable, the rest will continue to apply. If we do not enforce a right straight away, we can still enforce it later. These terms are the whole agreement between you and us about your use of the site.

13. Governing law and jurisdiction

These terms, and any dispute or claim arising out of or in connection with them or the site, are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer living in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
