About SmartRoom
SmartRoom, founded in the United States in 2004, is built around control. Its permission model and Q&A workflow are its calling cards, and it is a familiar name among advisers who run structured processes with several rounds. It scores 8.5 overall in our table, with security its strongest criterion and ease of use its weakest.
Managing many bidders
On a UK M&A auction with eight or more bidders, the sell side often needs to show different material to different parties: trade buyers see less commercially sensitive data than financial sponsors, and the preferred bidder gets more in round two. SmartRoom’s permission controls let administrators set this at a granular level, and its Q&A keeps questions routed and every answer logged.
Watermarking, document rights control and redaction round out the toolset. What you will not find in our data is AI tools, e-signature, an API or single sign-on.
| Process step | SmartRoom feature |
|---|---|
| Separate trade and financial buyers | Granular permissions |
| Control question volume | Structured Q&A |
| Clean HR files | Redaction |
| Revoke access after round one | Document rights control |
| Prove who saw what | Full audit trail |
Usability
The administrator interface is capable but not modern, and our ease of use score of 7.3 reflects the time new users need to find their way around. On the buy side, the experience is adequate for a professional diligence team. For a founder-led sale where the owner manages the room personally, the learning curve may be frustrating.
In practice, SmartRoom works best when an experienced administrator, usually at the corporate finance adviser or the seller’s law firm, owns the setup. They build the permission matrix once, test it with a dummy bidder account and then hand day-to-day uploads to the client. That division of labour avoids the most common mistake on any multi-bidder process: a document released to the wrong group. Ask SmartRoom whether it offers onboarding for your administrator before the room opens, and whether a test login can be set up to check what each bidder group will see.
Pricing and terms
SmartRoom quotes and does not offer a free trial in our data. Ask for pricing in pounds, confirm how extra rounds, users or storage are charged, and check VAT. Multi-bidder auctions often run longer than planned, especially when a second round is reopened or a preferred bidder drops out, so ask for the monthly cost of an extension as part of the original quote rather than negotiating it under time pressure later. Our costs guide sets out the common structures.
UK GDPR and security
SmartRoom holds SOC 2 and ISO 27001 and supports two-factor login. As controller, you need a processing agreement, the subprocessor list and a clear answer on hosting location. We do not hold confirmed hosting regions, so ask before uploading employee or customer data. Built-in redaction helps with data minimisation: on a UK share sale, buyers rarely need employee names and salaries until confirmatory diligence, so redacting them in the first round is a sensible default.
