It scores 9.2 overall, with its highest marks for support and security. The room is built for the kind of process where an adviser manages several bidders, each with their own legal, financial and tax teams, and needs control over who sees what down to individual documents.

Strengths on a contested UK process

On an auction run under the Takeover Code, or a private sale with a tight exclusivity window, the burden falls on the sell side to give every bidder equal access while keeping a precise record. iDeals handles that with granular permissions, a structured Q&A module, dynamic watermarks and a full audit trail. Redaction is built in, which saves exporting files to a separate tool when personal data in employment contracts needs blacking out before release.

Single sign-on and an API set it apart from many mid-market rooms. A UK corporate whose IT team requires every external system to go through its identity provider will find that easier to approve, and an adviser that wants to pull activity reports into its own systems can do so.

What it lacks in our data is built-in e-signature and AI tools. Neither stops a deal, but you will sign completion documents elsewhere.

Support is where iDeals scores highest in our model, at 9.7. On a UK process that matters more than it sounds: the busiest days in a data room are often the evening before a bid deadline or the weekend before exchange, when a bidder’s counsel cannot open a folder and the adviser needs the problem fixed within the hour. Having both certifications matters on UK deals where the buyer is a bank, insurer or listed group, since their vendor checks often name ISO 27001 explicitly. Under UK GDPR you remain the controller of personal data in the room, so you still need a processing agreement and an answer on hosting location and subprocessors.

When it is more than you need

For a straightforward owner-managed business sale with one preferred buyer, iDeals’ depth may go unused and the quote process adds a step.
