UK contract questions before you sign
- Notice period and minimum term. Quotes often fix a minimum number of months. Ask how much notice ends the term early and whether unused months are credited if the deal completes ahead of plan.
- Automatic renewal. Check whether the order form rolls over by itself. Business contracts carry no statutory cooling-off period, so a renewal clause binds as written; diarise the cancellation deadline against your expected completion date.
- Archive at completion. Ask what an encrypted copy of the room costs (a download or a USB set for the completion bible), what format it comes in and how long read-only access lasts after the room closes.
- Deletion under UK GDPR. As your processor, Intralinks should delete or return personal data when the service ends, unless law requires it to keep a copy (UK GDPR Article 28(3)(g)). Ask for the deletion timetable, how backups are purged and written confirmation once it is done.
