VAT on a Box invoice

Box lists its head office in the United States. When a supplier based outside the UK invoices a UK business, the business usually accounts for VAT itself under the reverse charge: no VAT on the invoice, but output and input entries on your own return.

If Box bills you through a UK subsidiary instead, 20% is added to the invoice in the ordinary way. Ask which entity will invoice before you sign.

The inc-VAT figures matter most where VAT is not fully recoverable: partly exempt businesses such as many insurers, lenders and residential landlords, charities, and unregistered start-ups. Reverse-charge services also count towards the £90,000 VAT registration threshold for a company that is not yet registered. Your accountant should confirm how this applies to your business.

UK contract questions before you sign

  1. Notice period and minimum term. On a monthly plan, ask how many days' notice stops the next charge and whether cancelling part-way through a month earns any refund.
  2. Automatic renewal. Check whether the order form rolls over by itself. Business contracts carry no statutory cooling-off period, so a renewal clause binds as written; diarise the cancellation deadline against your expected completion date.
  3. Archive at completion. Ask what an encrypted copy of the room costs (a download or a USB set for the completion bible), what format it comes in and how long read-only access lasts after the room closes.
  4. Deletion under UK GDPR. As your processor, Box should delete or return personal data when the service ends, unless law requires it to keep a copy (UK GDPR Article 28(3)(g)). Ask for the deletion timetable, how backups are purged and written confirmation once it is done.
  5. Governing law and invoice currency. See whether the terms follow the law of England and Wales or a foreign system, and ask to be invoiced in pounds if possible, so a weak pound does not inflate the bill mid-deal.
