VAT on a Venue by DFIN invoice

Venue by DFIN lists its head office in the United States. When a supplier based outside the UK invoices a UK business, the business usually accounts for VAT itself under the reverse charge: no VAT on the invoice, but output and input entries on your own return.

If Venue by DFIN bills you through a UK subsidiary instead, 20% is added to the invoice in the ordinary way. Ask which entity will invoice before you sign.

The inc-VAT figures matter most where VAT is not fully recoverable: partly exempt businesses such as many insurers, lenders and residential landlords, charities, and unregistered start-ups. Reverse-charge services also count towards the £90,000 VAT registration threshold for a company that is not yet registered. Your accountant should confirm how this applies to your business.

How the Venue by DFIN bill is built

Quote per project or subscription. If you already buy other DFIN services, ask whether Venue can be bundled into that relationship. A stand-alone quote for a single transaction should still state the term, volume measure and extension rate, so it can be held against the market range in our table.

UK contract questions before you sign

  1. Notice period and minimum term. Quotes often fix a minimum number of months. Ask how much notice ends the term early and whether unused months are credited if the deal completes ahead of plan.
  2. Automatic renewal. Check whether the order form rolls over by itself. Business contracts carry no statutory cooling-off period, so a renewal clause binds as written; diarise the cancellation deadline against your expected completion date.
  3. Archive at completion. Ask what an encrypted copy of the room costs (a download or a USB set for the completion bible), what format it comes in and how long read-only access lasts after the room closes.
  4. Deletion under UK GDPR. As your processor, Venue by DFIN should delete or return personal data when the service ends, unless law requires it to keep a copy (UK GDPR Article 28(3)(g)). Ask for the deletion timetable, how backups are purged and written confirmation once it is done.
  5. Governing law and invoice currency. See whether the terms follow the law of England and Wales or a foreign system, and ask to be invoiced in pounds if possible, so a weak pound does not inflate the bill mid-deal.

Venue by DFIN UK cost questions

How much will Venue by DFIN cost me in pounds?

Venue by DFIN sets prices by quote. For a six-month room of about 10,000 pages, the market range in our model is £4,000 to £12,000 before VAT; that is not a Venue by DFIN price, so ask Venue by DFIN for a written sterling figure.

Will VAT be added to a Venue by DFIN invoice?

With a head office in the United States, an invoice from outside the UK normally carries no VAT and a UK business accounts for it under the reverse charge. A UK subsidiary invoice would include 20%. Ask which applies.

Can Venue be priced as part of a wider DFIN engagement?

Ask your DFIN contact. Bundling can simplify procurement, but get the data room element itemised so you can compare it with other quotes and stop paying for it when the transaction ends.

Is two-factor login included with Venue?

Our data does not list two-factor login for Venue. Ask whether it is available on your plan, as outside access without it may fail a UK security review.

Can I try Venue by DFIN before I pay?

No free trial is listed for Venue by DFIN in our data. Ask for a guided demonstration on a copy of your own folder index instead.
